How long does incorporation take?

Can I be the only director and shareholder?
Yes, you can. A Sdn. Bhd. can be incorporated with only one director and one shareholder, and the same person can hold both roles. The director must ordinarily reside in Malaysia.
What information do I need?
You'll need your proposed company name, directors' and shareholders' details, NRIC/passport copies, proof of address, and your intended business activities. We recommend providing 2–3 company name options in order of priority, as names may already be taken or rejected.
What happens after I submit?

What is the minimum paid-up capital for a Sdn Bhd?

Does a Sdn Bhd need a physical office address?
Yes, every Sdn Bhd must have a registered office address in Malaysia where official correspondence can be received during business hours. This can be a virtual office address — it does not need to be your operating location.
Can I use my home address as the business address?
Yes, if your business is home-based or operated virtually, your residential address may be used as the business address.
Can the company's records be kept at an address other than the registered office?
Yes. However, if the statutory records are not kept at the registered office, we will notify Companies Commission of Malaysia of the address where the records are kept.

Can foreigners incorporate?
Yes, foreigners can incorporate a Sdn Bhd. However, at least one resident director is required under the Companies Act 2016.
Can a foreigner own 100%?
Yes, in many cases a foreigner can own 100% of a Malaysian company. However, this depends on the business activity, industry rules, and whether any licence or regulatory approval is required. Some sectors may have equity or ownership restrictions.
Do foreigners need to be physically present in Malaysia to incorporate?
Not always. In many cases, a company can be incorporated without all foreign shareholders being physically present in Malaysia. However, physical presence may still be required later for matters such as bank account opening, identity verification or certain licensing processes.
Do foreigners need local support?
Usually, yes. A Malaysian company must have a registered office in Malaysia and appoint a company secretary after incorporation. In practice, foreign founders also often need local support for compliance, documentation and ongoing corporate matters.
